General Terms and Conditions (GTC)

These General Terms and Conditions govern all offers, Distance Contracts, and orders between the Entrepreneur (TIWEB B.V.) and the Consumer.

Article 1 – Definitions of Key Terms

In these conditions, the following terms are defined as:

  • Cooling-off Period: The statutory timeframe during which the Consumer may exercise their Right of Withdrawal.

  • Consumer: An individual acting outside of a professional or business capacity who enters into a Distance Contract with the Entrepreneur.

  • Day: Refers to a calendar day.

  • Long-term Transaction: A Distance Contract involving continuous or successive deliveries of products or services over an extended period.

  • Durable Medium: Any means that allows a party (Consumer or Entrepreneur) to store information addressed personally to them, ensuring future access and unchanged reproduction.

  • Right of Withdrawal: The Consumer's option to legally terminate the Distance Contract within the defined Cooling-off Period.

  • Entrepreneur: The legal entity or individual offering products and/or services remotely to Consumers (Lucas & Grace / TIWEB B.V.).

  • Distance Contract: An agreement established between the Entrepreneur and the Consumer using organized distance selling methods, relying exclusively on remote communication techniques until the contract's conclusion.

  • Means of Remote Communication: Tools used to finalize a contract without both the Entrepreneur and Consumer being physically present simultaneously.

  • General Terms and Conditions (GTC): This comprehensive set of rules governing the relationship between the parties.

Article 3 – Scope and Availability

  1. These GTC are applicable to every proposal made by the Entrepreneur and every purchase agreement or order placed by the Consumer.

  2. The text of these GTC will be provided to the Consumer before the contract is finalized. If physical provision is impractical, the GTC will be made available digitally or sent free of charge upon request.

  3. If the agreement is made electronically, the Consumer will receive the GTC in a format easily storable on a Durable Medium.

  4. If specific product or service conditions are also in effect, the Consumer may always rely on the most favorable condition in case of contradiction.

  5. If any part of these GTC is legally invalid or voided, the remaining provisions remain fully binding. The invalid provision will be replaced by a mutually agreed-upon term that best reflects the original legal intent.

  6. Matters not explicitly covered by these GTC shall be resolved and interpreted "in the spirit" of these terms.

Article 4 – The Offer of Products and Services

  1. If a sales offer has an expiration date or specific conditions, these details will be clearly stated. The offer is always non-binding, and the Entrepreneur reserves the right to make modifications.

  2. The Entrepreneur shall provide a complete and accurate description of all products and services to allow the Consumer an accurate evaluation. Imagery used must be a truthful representation. The Entrepreneur is not bound by any obvious errors or mistakes in the offer.

  3. All visuals, technical specifications, and data presented are indicative only and do not constitute grounds for compensation or contract termination.

  4. The Consumer will be informed of all associated rights and obligations upon accepting the offer, including:

    • Price: Excluding customs duties and import VAT. These costs are the customer's responsibility and risk upon import into the EU, and will be collected by the courier service. The Entrepreneur does not charge VAT.

    • Sale: Current pricing is valid through February 28.
    • Applicable shipping charges.

    • The steps required to finalize the agreement.

    • Whether the Right of Withdrawal applies.

    • Payment, delivery, and performance procedures.

Article 5 – Contract Conclusion

  1. The contract is concluded when the Consumer accepts the offer and fulfills all stipulated conditions.

  2. Acceptance of the offer via electronic means must be immediately confirmed electronically by the Entrepreneur. The Consumer may terminate the contract until this confirmation is sent.

  3. For electronic transactions, the Entrepreneur ensures data security and a secure online payment environment.

  4. The Entrepreneur may conduct inquiries into the Consumer’s ability to meet payment obligations. If the inquiry provides legitimate reasons for concern, the Entrepreneur may refuse the order or attach special conditions to its execution.

  5. Along with the product, the Entrepreneur will provide the Consumer with all relevant information, including the contact details for complaints, withdrawal procedures, warranty information, and contract termination rules (for long-term contracts).

  6. All contracts are subject to the suspensive condition of sufficient product availability.

Article 6 – Right of Withdrawal (Cancellation)

  1. The Consumer has the right to dissolve the contract without giving any reason within a 30-day reflection period starting the day after the product is received.

  2. During the reflection period, the Consumer must handle the product and packaging with care, only unwrapping or using the product as necessary to evaluate whether they wish to keep it.

  3. To exercise this right, the Consumer must notify the Entrepreneur in writing (via email or letter) within the 30-day period. The product must then be returned within 30 days following this notification. Proof of timely return (e.g., shipment tracking) is required.

  4. Failure to notify the Entrepreneur or failure to return the product within the specified periods renders the purchase agreement binding.

Article 7 – Costs of Withdrawal

  1. If the Consumer exercises the Right of Withdrawal, they must bear the costs of returning the products.

  2. The Entrepreneur will refund the purchase amount as quickly as possible, but no later than 14 days after the withdrawal, provided the product has been received back or conclusive evidence of return shipment has been provided.

Article 8 – Exclusion of the Right of Withdrawal

The Entrepreneur may exclude the Right of Withdrawal for certain products and services, provided this exclusion is clearly stated in the offer prior to the contract's conclusion.

Exclusion applies to products that are:

  • Manufactured to the Consumer's specific dimensions or personal specifications.

  • Clearly personalized or custom in nature.

  • Not suitable for return due to health protection or hygiene reasons where the seal was broken (e.g., hygiene items).

  • Sealed audio/video recordings or software with broken seals.

  • Goods that quickly perish or expire.

Article 9 – Pricing Policy

  1. Prices stated in the offer will not be increased during the validity period, except for legally mandated VAT changes.

  2. The Entrepreneur may offer products whose prices are subject to financial market fluctuations beyond their control, provided this is clearly communicated in the offer.

  3. Price increases after the contract's conclusion are only permitted if they are based on legal regulations or if the Consumer is granted the right to cancel the contract when the price increase takes effect.

  4. Important Note: As the place of delivery is outside the EU, the postal or courier service will charge the recipient import VAT or customs duties. The Entrepreneur does not collect VAT on these sales.

  5. The Entrepreneur is not obligated to deliver products at an incorrect price due to printing or typographical errors.

Article 10 – Product Compliance and Guarantee

  1. The Entrepreneur guarantees that products and services meet the agreed specifications, reasonable standards of quality/usability, and applicable laws at the time of contract conclusion.

  2. A commercial guarantee offered by the Entrepreneur, manufacturer, or importer does not diminish the Consumer's statutory rights and claims under the sales agreement.

  3. Defects or incorrectly delivered products must be reported to the Entrepreneur in writing within 30 days of delivery. The product must be returned in the original packaging and in new condition.

  4. The warranty is voided if the products were repaired, altered, exposed to abnormal conditions, or treated contrary to the Entrepreneur's instructions.

Article 11 – Delivery and Order Execution

  1. The Entrepreneur will process and execute product orders with the utmost care, delivering to the address provided by the Consumer.

  2. Accepted orders will be executed promptly, typically within 30 days, unless a longer period is explicitly agreed upon. If delivery is delayed or an order cannot be fully executed, the Consumer will be notified within 30 days and has the right to terminate the contract free of charge.

  3. In case of termination due to delay, the Entrepreneur will refund the paid amount within 14 days.

  4. The risk of damage or loss transfers to the Consumer once the product has been physically delivered to the Consumer or a pre-designated representative.

Article 12 – Ongoing Transactions: Term, Cancellation, and Renewal

This article details the rules for managing contracts involving regular deliveries (subscriptions or long-term services):

  • Cancellation: The Consumer may terminate contracts of indefinite duration (or fixed-term contracts at the end of the term) with a notice period of no more than one month.

  • Renewal (Extension): Fixed-term contracts for products/services cannot be tacitly renewed for another fixed term. They can only be tacitly extended for an indefinite period, allowing the Consumer to cancel at any time with a notice period of one month.

Article 13 – Payment Terms

  1. Unless otherwise agreed, payments owed by the Consumer must be settled within 7 working days after the Cooling-off Period begins.

  2. The Consumer must immediately report any inaccuracies in payment details provided to the Entrepreneur.

  3. In case of late payment, the Entrepreneur has the right to charge reasonable costs, previously communicated to the Consumer, subject to legal limits.

Article 14 – Complaints Handling

  1. Complaints regarding the contract's execution must be clearly described and submitted to the Entrepreneur within 7 days after the defect is discovered.

  2. The Entrepreneur will provide a response to the complaint within 14 days of receipt. If more time is required, the Consumer will receive an acknowledgment of receipt and an indication of the expected detailed response date.

  3. A valid complaint does not suspend the Entrepreneur's obligations unless agreed upon in writing.

  4. If a complaint is deemed valid, the Entrepreneur will, at their discretion, either replace or repair the defective products free of charge.

Article 15 – Governing Law

Contracts between the Entrepreneur and the Consumer governed by these general terms and conditions are subject exclusively to Dutch law, even if the Consumer resides abroad.
